These Terms and Conditions ("Terms") govern the use of this website and the provision of civil engineering and construction services by Aura Build Ltd ("Company", "we", "our", or "us"). By accessing this website or engaging our services, you agree to be bound by these Terms and the laws of the Republic of Uganda.
1. Company Identification & Operations
Aura Build Ltd is a registered civil engineering and construction firm in Uganda (Registration No: 80034891059950), providing comprehensive construction, architectural design, structural engineering, geotechnical investigation, surveying, and cost estimation services.
2. Service Engagements, Contracts & Scope
All physical works and professional engineering services are strictly subject to a formally signed written contract or quotation. Our operations adhere to the standards set by the Uganda Institution of Professional Engineers (UIPE) and the National Building Review Board (NBRB).
Project Scope: The specific deliverables, timelines, materials, and costs shall be exclusively defined in the signed contractual documents and approved Bills of Quantities (BOQ).
Variation Orders: Any modifications to the agreed structural design, architectural plan, or construction scope—including requests for additional materials or labor—must be requested and approved in a formal written Variation Order. Unapproved verbal requests made on-site to engineers or foremen will not be recognized and may result in delays or cost overruns entirely at the client's risk.
3. Client Obligations & Regulatory Compliance
The client explicitly agrees to:
- Provide accurate geotechnical data, verifiable land ownership documentation, and unhindered site access.
- Unless expressly contracted to Aura Build Ltd, obtain all necessary building permits and environmental approvals from relevant authorities (e.g., KCCA, NEMA, local District authorities) prior to the commencement of works, in strict compliance with the Building Control Act, 2013 and the Physical Planning Act, 2010.
- Make timely milestone payments as agreed in the formal payment schedule.
4. Financial Terms & Quotations
- All quotations provided by Aura Build Ltd are valid only for the period explicitly stated in the proposal document.
- Payments must be made according to the agreed contractual milestones. Delays in payment constitute a breach of contract and may result in an immediate suspension of site works.
- Due to the procurement of materials and labor mobilization, all milestone payments are non-refundable once work corresponding to that milestone has commenced, unless otherwise mandated by a court of law.
5. Intellectual Property
All architectural drawings, structural engineering calculations, topographic maps, geotechnical reports, and project documentation created by Aura Build Ltd remain the exclusive intellectual property of the Company until full and final payment is received. Unauthorized reproduction, distribution, or execution of our designs by third parties is strictly prohibited and subject to legal action.
6. Limitation of Liability & Force Majeure
Aura Build Ltd operates with the highest engineering standards, but we shall not be held liable for:
- Delays or damages caused by Force Majeure events, including but not limited to extreme weather (e.g., severe flooding), government restrictions, national material shortages, or labor strikes.
- Structural issues or delays arising from inaccurate land surveys or withheld site information provided by the client.
- Indirect or consequential financial damages beyond the agreed contract value.
Upon practical completion of construction projects, a Defects Liability Period (DLP)—typically 3 to 6 months as defined in the specific contract—shall apply. During this period, Aura Build Ltd will rectify any structural or finishing faults arising strictly from our workmanship.
7. Dispute Resolution & Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Uganda.
Any disputes arising from these Terms or our construction contracts shall first be negotiated amicably in good faith. If a resolution cannot be reached within 30 days, the parties agree to submit the dispute to binding arbitration in Kampala, Uganda, in accordance with the Arbitration and Conciliation Act of Uganda, prior to seeking litigation in the competent Ugandan courts.
8. Termination of Services
Either party may terminate a service agreement under the specific termination clauses outlined in the signed contract. Aura Build Ltd reserves the right to terminate services immediately upon material breach by the client (e.g., prolonged non-payment or site safety violations).
9. Amendments
We reserve the right to update these Terms at any time to reflect changes in Ugandan law or our corporate policies. Updated versions will be published on this page with a revised effective date.
